The European Commission has approved the acquisition of joint control over Baltic Grain Terminal (BTZ) at Poland’s Port of Gdynia by Bunge Global SA and CM Holding A/V. The decision was adopted on October 13 under the EU Merger Regulation. According to World Grain, the transaction involves not only a change in the terminal’s ownership and management structure but also a major modernization of its infrastructure to increase handling capacity.

Baltic Grain Terminal is located at one of Poland’s major Baltic ports and specializes in handling grain and other dry bulk commodities. According to the Port of Gdynia Authority, the terminal accounts for approximately 10% of the port’s total grain-handling capacity. Under a 30-year concession agreement signed with the port authority, Bunge and CM plan to renovate the facility and significantly expand its throughput capacity.

The European Commission concluded that the acquisition of joint control over the terminal would not raise significant competition concerns in the relevant markets. The regulator noted that the transaction would have a limited impact on competition and therefore reviewed it under the standard merger control procedure. The approval paves the way for the companies to proceed with their investment plans to develop the Port of Gdynia’s grain infrastructure.

Bunge already has a substantial presence in Poland’s agricultural market and is among the country’s largest vegetable oil producers and oilseed processors. The company operates production facilities in Kruszwica and Brzeg, a vegetable fat production plant in Karczew, and port terminals in Świnoujście and Szczecin. Denmark-based CM Holding is active in agricultural commodity trading, dry bulk shipping, port logistics and the development of digital solutions for the agricultural industry.

The modernization of Baltic Grain Terminal could strengthen the Port of Gdynia’s role as a key logistics hub for grain and oilseed trade in the Baltic region. Increased handling capacity will create additional opportunities for agricultural cargo operations and the development of export and import flows through Polish ports. However, specific figures for the planned capacity expansion and the timeline for completing the modernization have not yet been disclosed. Further implementation of the project will depend on Bunge and CM’s investment plans and demand for agricultural cargo handling at the port.
